Terms of Service

These Terms govern access to and use of Rameau, including the website
(https://rameau.co), the application/dashboard (https://app.rameau.co),
and the API (https://api.rameau.co) (together, the "Service"), provided by
Rameau SpA, a company organized under the laws of Chile with operations in
Santiago, Chile ("Rameau", "we", "us", or "our").
By creating an account, accessing, or using the Service, you ("you", "User", or "Customer") agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
1. Definitions
- "Organization" โ a workspace created upon registration, containing Members, Corpora, Documents, and subscription/billing information.
- "Member" โ a user invited into an Organization, assigned a role (Owner, Admin, Member, or a custom role) and associated permissions.
- "Document" โ any file uploaded to the Service (PDF, PNG, JPG/JPEG, WEBP, BMP, TIFF, XLSX, CSV, TSV, or TXT).
- "Corpus" โ a named collection of Documents that share a unified, canonical schema.
- "Customer Content" โ Documents uploaded by you and any data, including the canonical schema and extracted records, generated from them.
- "Credits" โ the unit of consumption used to pay for processing actions on the Service, as described in Section 7.
2. The Service
Rameau is a cloud platform that converts unstructured and semi-structured operational documents (invoices, contracts, forms, spreadsheets, and similar business records) into structured, comparable data. In general terms, the Service:
- Allows you to upload Documents to Corpora;
- Uses AI (including large language models operated by Rameau and by third-party providers) to infer a canonical schema for a Corpus and to extract data from each Document into that schema;
- Presents the extracted data to you for human review, correction, and validation; and
- Makes the resulting structured dataset available to you for export, integration, and further use.
The Service is AI-assisted and requires human oversight. Extracted data is generated by machine learning models and may contain errors, omissions, or misclassifications. You are responsible for reviewing, validating, and correcting extracted data before relying on it for any operational, financial, legal, or compliance purpose. See Section 12 (Disclaimers).
3. Eligibility and Account Registration
3.1 To use the Service you must register an account with a valid email address, your name, and a password, and verify your email address.
3.2 You must be legally capable of entering into a binding contract in your jurisdiction. The Service is intended for business/professional use.
3.3 You are responsible for maintaining the confidentiality of your account
credentials and for all activity that occurs under your account. Notify us
promptly at [email protected] of any unauthorized use.
3.4 You must provide accurate, current, and complete information during registration and keep it up to date.
4. Organizations, Roles, and Members
4.1 Registration automatically creates an Organization, and the registering user becomes its Owner.
4.2 The Owner (or Members with appropriate permissions) may invite additional Members, subject to the seat limit of the applicable plan, and assign each Member a role (Owner, Admin, Member, or a custom role) with associated permissions over Documents, Corpora, templates, and extracted data.
4.3 The Organization Owner is responsible for the actions of its Members within the Organization and for ensuring Members comply with these Terms.
5. Free Trial
5.1 Every newly created Organization is automatically provisioned a 14-day free trial, including 1 seat and 100 credits.
5.2 If the trial ends without an upgrade to a paid plan, the subscription status becomes expired and access to paid functionality is suspended until a paid plan is activated.
5.3 We may modify, limit, or discontinue the free trial offer at any time.
6. Plans, Seats, and Credits
6.1 Plans. The Service is offered under the following subscription tiers, each including a fixed number of seats and a monthly credit allowance:

6.2 Seats. The Organization Owner counts as one seat. The number of Members that may be invited is limited by the seat count of the applicable plan. Adding Members beyond the seat limit requires an upgrade.
6.3 Credits. Credits are consumed for processing actions as follows:

6.4 The monthly credit allowance included in a plan resets at the start of each billing period. Unused base-plan credits do not roll over.
6.5 Top-up credits may be purchased separately or redeemed via coupon. Top-up credits expire three (3) months after issuance and do not roll over beyond that period.
6.6 If an Organization exhausts its available credits or seats, requests that exceed the applicable limit will be rejected until credits are topped up or the plan is upgraded.
7. Billing and Payment
7.1 Personal and Scale plans are billed monthly in advance. Enterprise
plans are billed per the terms agreed with our sales team

7.2 Subscriptions may have one of the following statuses: trialing, active, past_due, cancelled, or expired. Access to paid functionality requires an active subscription.
7.3 If a payment fails, the subscription may be marked past_due, and we may suspend access to paid functionality until payment is resolved.
7.4 You may upgrade your plan (changing plan tier or seat count) at any time; upgrades take effect and are billed as described at the time of the change. You may cancel your subscription at any time as described in Section 13.
7.5 Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes associated with your use of the Service.
7.6 Payments for the Service are processed by Paddle, which acts as the authorised reseller and merchant of record for purchases made through the Service. Transactions are also subject to Paddle's Buyer Terms and Conditions, and refunds are handled in accordance with our Refund Policy.
8. Customer Content; License; Your Responsibility
8.1 As between you and Rameau, you retain all ownership rights in your Customer Content.
8.2 You grant Rameau a limited, worldwide, non-exclusive license to host, store, process, transmit, and display your Customer Content solely as necessary to provide, maintain, and improve the Service, including transmitting Documents to third-party AI providers as described in Section 10.
8.3 You represent and warrant that you have all rights necessary to upload Customer Content to the Service and that doing so does not violate any law, third-party right, or confidentiality obligation.
8.4 You are solely responsible for reviewing and validating AI-generated extraction results before using them for any downstream purpose. Rameau is not responsible for decisions made based on unreviewed or improperly validated data.
9. Acceptable Use
You agree not to:
- Upload Documents you do not have the right to process, or that contain unlawful content (including content that infringes third-party rights or violates applicable data protection law);
- Use the Service to process special categories of sensitive personal data (e.g., health data, biometric data) unless you have an independent legal basis and have taken appropriate safeguards to do so;
- Attempt to reverse-engineer, decompile, or extract the underlying models or source code of the Service;
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure;
- Use the Service to build a competing product;
- Circumvent seat, credit, or usage limits associated with your plan; or
- Use the Service in violation of applicable law.
We may suspend or terminate accounts that violate this Section.
10. Third-Party AI Providers and Processing
10.1 To perform schema inference, extraction, and OCR, Document content may be transmitted to third-party large language model providers, including OpenAI, Azure OpenAI, and Mistral, and, where configured, processed on a self-hosted/local Ollama instance.
10.2 Transactional emails (e.g., verification, password reset) are sent via ZeptoMail.
10.3 Documents are stored encrypted at rest in S3-compatible object storage (Linode); application data is stored in PostgreSQL.

11. Intellectual Property
11.1 Rameau and its licensors retain all right, title, and interest in and to the Service, including its software, models, schema-inference logic, user interface, and all related intellectual property, excluding Customer Content.
11.2 We grant you a limited, non-exclusive, non-transferable right to access and use the Service during the term of your subscription, solely for your internal business purposes, subject to these Terms.
12. Disclaimers
12.1 THE SERVICE, INCLUDING ALL AI-GENERATED OUTPUT, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.
12.2 AI-generated schema inference and data extraction may contain errors. Rameau does not guarantee the accuracy, completeness, or reliability of any extracted data, and the Service is designed to require human review before extracted data is treated as operational data.
12.3 We do not warrant that the Service will be uninterrupted, error-free, or secure from all unauthorized access.
13. Suspension and Termination
13.1 You may cancel your subscription at any time from the dashboard or by
contacting [email protected]. Cancellation takes effect at the end of the
then-current billing period unless otherwise stated.
13.2 We may suspend or terminate your access to the Service, in whole or in part, if: (a) you breach these Terms; (b) your subscription becomes past_due and is not remedied within a reasonable period; (c) required by law; or (d) we reasonably believe suspension is necessary to protect the Service, other users, or third parties.
13.3 Upon termination, your right to access the Service ceases. We may retain Customer Content for a limited period after termination to allow export, as described in our Privacy Policy, after which it may be deleted.
14. Limitation of Liability
14.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAMEAU SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
14.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAMEAU'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO RAMEAU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14.3 Nothing in these Terms limits liability that cannot be limited or excluded under applicable law.
15. Indemnification
You agree to indemnify and hold Rameau harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of applicable law or third-party rights.
16. Changes to the Service and Terms
16.1 We may modify or discontinue features of the Service from time to time.
16.2 We may update these Terms periodically. Material changes will be notified via the Service or by email to the address on file. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Chile, without regard to conflict-of-law principles. Any dispute arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Santiago, Chile, except where mandatory consumer protection law provides otherwise.
18. Miscellaneous
18.1 Entire Agreement. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Rameau regarding the Service.
18.2 Severability. If any provision of these Terms is held invalid, the remaining provisions remain in full effect.
18.3 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
18.4 No Waiver. Failure to enforce any provision is not a waiver of our right to do so later.
